1. Parties and Definitions
1.1. Parties
This User / Membership Agreement (the “Agreement”) is entered into electronically between Kadir ERTİNEL, the operator of the PsyTell.com website and digital platform (the “PsyTell”), acting as the Data Controller and Service Provider, and all users, whether individuals or legal entities, who register with or visit PsyTell.com, whether or not they become members.
1.2. Definitions
• Platform: Refers to the PsyTell.com website, mobile/web applications, infrastructure, and related digital services.
• Professional / Corporate Member: Refers to mental health professionals who register with PsyTell.com and hold one of the following professional titles: psychiatrist, clinical psychologist, specialist psychologist, psychologist, specialist psychological counselor, psychological counselor, pedagogist, family counselor, or authorized institutions/organizations employing such professionals.
• Client / Visitor: Refers to any person who uses the Platform to receive services from mental health professionals or visits the website without registering as a member.
• User: Refers collectively to all Professionals, Institutions, Clients, and Visitors, whether registered as members or not.
2. Legal Nature of PsyTell (Intermediary Service Provider and Medical Disclaimer)
2.1. Intermediary Service Provider Status
PsyTell is an “Intermediary Service Provider” technology platform that enables mental health professionals, institutions, and clients to conduct online sessions in a secure, confidential, and end-to-end encrypted environment. Professionals listed on PsyTell are not employees or agents of PsyTell.
2.2. No Direct Healthcare Services
PsyTell is not a clinic, hospital, emergency service, or diagnostic or treatment center and does not itself directly provide medical, psychiatric, or psychological treatment services.
2.3. Professional Responsibility
The relevant Professional Member is solely responsible for all diagnoses, treatments, therapeutic methods, assessments, and professional advice provided to Clients. PsyTell shall not be held responsible for the content, quality, or outcomes of services provided by Professionals.
3. Session Privacy, Security, and the “Zero-Recording” Principle
3.1. Prohibition of Recording
All online video sessions conducted through the PsyTell Platform are carried out using high security standards, including TLS/HTTPS and WebRTC encryption. The content of therapy sessions is NOT PROCESSED, STORED, OR RECORDED on PsyTell servers. Neither the system nor users, including Professionals and Clients, can record sessions through the Platform.
3.2. Zero-Cookies Policy
To protect user privacy, PsyTell does not use or store any cookies for tracking, advertising, or marketing purposes on the Platform.
4. Membership Requirements, Document Verification, and Representations
4.1. Membership Eligibility
Professional or Corporate Membership may only be established by individuals who hold the official professional titles and qualifications listed in Section 1.2. Individuals who do not hold such titles or qualifications may only use the Platform as Clients or Visitors.
4.2. Submission of Documents and Accuracy
Professional Members acknowledge, represent, and undertake that any diplomas, professional qualification certificates, licenses, certifications, or similar documents (“Documents”) requested during or after registration are authentic, valid, officially issued or approved by the relevant authorities, and accurate.
4.3. Liability for False or Misleading Documents
All legal, criminal, administrative, and financial liability arising from the falsity, invalidity, or misleading nature of any Documents submitted by a Member shall belong directly to the relevant Member. In the event of any misleading representation, the Member shall immediately compensate PsyTell and any third parties for all resulting damages, including legal fees, reputational losses, and compensation claims. In such cases, the membership may be terminated immediately.
5. Rules of Use and Responsibilities
5.1. Content and Conduct Rules
Users may not create, upload, share, or distribute content on the Platform that violates applicable laws, public morality, or personal rights, or that contains threats, insults, obscene material, content encouraging suicide, or content that infringes intellectual property rights.
5.2. Ethical Principles
Professional Members are required to fully comply with the ethical principles and confidentiality obligations established by their respective professional organizations and applicable legislation.
5.3. Sessions and Payment Relationship
Except for expressly stated membership or Platform usage fees, PsyTell is not a party to the determination or direct collection of fees for therapy sessions between Clients and Professionals. Session terms and fees are determined directly between the Professional and the Client.
6. Emergencies and Crisis Intervention
PsyTell is not a crisis intervention hotline or emergency healthcare service. In cases involving an immediate threat to life, a risk of self-harm or harm to others, or an emergency medical crisis, the Platform should not be used. Users should immediately contact their local emergency services or the nearest healthcare facility.
7. Fees, Membership Cancellation, and Refunds
7.1. Membership Cancellation
Members may terminate their PsyTell membership at any time.
7.2. Refund Conditions
If a membership is cancelled, the portion of the membership fee corresponding to the period from the date of payment through the cancellation date will be deducted, and the remaining balance will be refunded to the Member.
8. Intellectual Property Rights
All intellectual property rights relating to the software, design, trademarks, logos, graphics, interfaces, source code, and textual content available on PsyTell.com belong to Kadir ERTİNEL / PsyTell. Such materials may not be copied, reproduced, distributed, or subjected to reverse engineering without prior written permission.
9. Limitation of Liability
To the maximum extent permitted by applicable law, PsyTell shall not be held liable for direct or indirect damages arising from internet interruptions, device incompatibilities, disruptions caused by third-party infrastructure providers, or communications between users, including data loss, loss of profits, or non-material damages.
10. Force Majeure
PsyTell shall not be held liable for failure to fulfill its obligations due to unforeseen events beyond its reasonable control, including natural disasters, pandemics, war, cyberattacks, restrictions imposed by public authorities, or general and unforeseen outages originating from infrastructure or hosting providers.
11. Dispute Resolution
11.1. Amicable Resolution and Good Faith
The parties shall first endeavor to resolve any dispute, claim, or disagreement arising from this Agreement or the terms of use through direct communication, in good faith and through negotiation.
11.2. Applicable Law and Jurisdiction
If the dispute cannot be resolved amicably within 30 days, these Terms shall be governed by and construed in accordance with the laws applicable to PsyTell and its users, subject to any mandatory consumer protection or other legal provisions applicable in the user's jurisdiction.
Nothing in these Terms is intended to deprive you of any rights that cannot legally be waived under the laws applicable to you.
