1. Parties and Definitions
1.1. This User/Membership Agreement ("Agreement") has been electronically approved between Psikoajans Web Portal Services Ayten Ertinel ("Company"), the operator of the Psytell.com("PsyTell") website, and individuals/legal entities who accept the Psytell.com ("PsyTell") user/membership agreement and use the Psytell.com ("PsyTell") website, whether as members or non-members ("Users").

‍1.2. This "Agreement" covers Psytell.com "Members" and "Visitors." Anyone who uses Psytell.com,whether as a member or non-member, is deemed to have accepted and declared the user/membership agreement in its entirety, as is.

‍1.3. In this "Agreement," the term "Member" refers to all mental health professionals registered with Psytell.com, including specialists and institutions/organizations providing psychotherapy or counseling services in the field of mental health where mental health professionals practice; the term "Visitor" refers to all persons using Psytell.com without membership; and the term "User" refers to all "Members" registered with Psytell.com and all "Visitors" using Psytell.com without registration.

‍1.4. The term mental health professionals in this agreement includes: psychiatrists, clinical psychologists, expert psychologists, psychologists, expert psychological counselors, psychological counselors, pedagogues, and family counselors.

‍1.5. Only psychiatrists, clinical psychologists, expert psychologists, psychologists, expert psychological counselors, psychological counselors, pedagogues, family counselors, and institutions/organizations providing psychotherapy or counseling services in the field of mental health where mental health professionals practice may register as specialist and corporate members of Psytell.com. Persons without these titles may use Psytell.com as "Visitors."

2. General Provisions
2.1. All "Users" of the Psytell.com website declare that they have read, understood, and accepted all provisions in this Agreement.

‍2.2. Psytell.com reserves the right to make all necessary amendments to this "Agreement"; amendments may be partial or may apply to the entire agreement. Changes made to this "Agreement" will be announced to "Users." By continuing to use the site, "Users" are deemed to have accepted the amendments made. Amendments become effective as of the date they are published.

‍2.3. If one or several of the terms in this agreement become partially or completely invalid, the remainder of the agreement shall continue to remain in effect.

3. Privacy
3.1. Psytell.com places great emphasis on protecting the personal information of its "Users" and maintaining their privacy this is an extremely important matter. Therefore, Psytell.com declares and undertakes that the information you provide during membership will not be used in any scope other than the rules and purposes specified in both the Psytell.com user/membership agreement and the privacy and cookie policy, and will not be shared with third parties.

4. Responsibilities and Obligations
4.1. The security of all our "Users" is extremely important to us at "PsyTell." If you contact us in case of any ethical violation or situations where you believe your security is threatened, Psytell.com will take the necessary measures immediately. As a result of the investigation in cases of ethical violations and situations that would compromise security, the person's Psytell.com membership, if any, will be terminated and their access to the website will be blocked.

‍4.2. Psytell.com is a platform that is an "Intermediary Service Provider" established for the purpose of mediating secure online meetings where privacy is at the forefront between mental health professional specialists and institutions/organizations operating in the field of mental health and their own clients. The specialists and institutions/organizations on "PsyTell" are not employees or initiatives of Psytell.com.

‍4.3. All "Members" accept that all information they provide while becoming a member of Psytell.com is accurate; otherwise, "Members" are deemed to have accepted and declared that they will immediately and fully compensate all material and moral damages that Psytell.com and third parties may incur due to the inaccuracy of such information provided. In such a case, the "Member's" membership will be terminated by Psytell.com and their access to the website will be blocked.

‍4.4. Real/legal persons who become "Members" as specialists on the "PsyTell" website irrevocably declare, accept, and undertake that all documents such as diplomas, graduation certificates, certificates, specialization documents, licenses, etc. (hereinafter referred to as "Documents") uploaded to the system are accurate, true to original, valid, current, and approved by official authorities. This acceptance, declaration, and undertaking is an integral part of the membership agreement, and in case of false or fraudulent declaration, the specialist "Member" agrees to immediately and fully compensate all material, moral, legal, criminal, administrative, and financial damages (including court costs, attorney fees, loss of reputation, and indirect damages) incurred by "PsyTell" and third parties (including all "Users").

‍4.5. In the event of any material/moral, psychological/physical damage, violation, or unlawfulness arising from the falsity, invalidity, or misleading nature of the "Documents" submitted by the "Member" (e.g., incorrect counseling, fraud, violation of personal rights, or public health risk), "PsyTell" shall have no legal, criminal, administrative, financial, or contractual liability whatsoever. All liability rests with the "Member" who submitted the "Documents."

‍4.6. Psytell.com does not mediate the determination of therapy rules, the pricing of therapy sessions, or the making of payments. The determination of therapy rules, pricing of therapy sessions, and making of payments are determined between "Members" and "Visitors" (specialists, institutions/organizations, and clients).

‍4.7. "PsyTell" cannot be held responsible for disputes, material/moral, psychological/physical damages, and all consequences thereof that may arise from the quality, success/failure, accuracy/inaccuracy of the treatment/service provided by Specialist or Corporate "Members," or from the content of the sessions.

‍4.8. All content shared on Psytell.com by "Users" and the communication and interactions between "Users" are their own responsibility.

‍4.9. "Users" agree that in all their actions on Psytell.com or in their communications with other users, they will not produce or share content, write messages, text, notes, or make comments that are contrary to public morals, customs, laws, that violate the rights of third parties, are misleading, manipulative, aggressive, contain insults and threats, encourage suicide or psychological/physical self-harm, are obscene, pornographic, violate personal rights, infringe copyrights, or promote illegal activities. Otherwise, "Users" themselves are responsible for all damages that may occur; in such a case, Psytell.com, reserving the right to initiate legal processes, may unilaterally and without notice suspend/terminate the person's membership, if any, and block their access to "PsyTell."

‍4.10. All specialists and institutions/organizations that are members of this "PsyTell" are deemed to have accepted that all content they will share on Psytell.com will be related to psychology, psychiatry, their own expertise, and professional fields in short, will be in accordance with Psytell.com's format. In case of violation of this provision, the relevant share may be removed from the application by Psytell.com.

‍4.11. Specialists and institutions/organizations that are members of Psytell.com agree to act in accordance with the ethical principles required by their profession.

‍4.12. "PsyTell" is an "Intermediary Service Provider" platform that only brings together clients with specialists and institutions/organizations; it cannot be held responsible for the consequences of advice given, methods applied, opinions shared, or attitudes and behaviors displayed by members towards each other by specialists and institutions/organizations. The parties to any dispute between "Users" are directly the relevant members and visitors. "PsyTell" cannot be held legally or criminally liable for any direct or indirect, material or moral damages (including but not limited to loss of profit, data loss, loss of business, physical or psychological harm) that "Users" may cause to each other.

‍4.13. "PsyTell" is not an emergency intervention/crisis center or a health institution/organization. The content within Psytell.com does not constitute medical advice.

5. Intellectual Property Rights
5.1. All registered or unregistered intellectual property rights such as titles, business names, brands, patents, logos, designs, ideas, information, content, projects, software, and methods contained in this application created and implemented by Psytell.com belong to Psytell.com and are protected by national and international law.

6. Force Major
6.1. In the event of partial or complete inability to fulfill the obligations arising from this "Agreement" due to events beyond the parties' control, unforeseeable and unpreventable (earthquake, flood, fire, storm, epidemic disease, war, civil war, terrorist acts, strike, lockout, decisions of official authorities, natural disasters, and similar situations) or problems causing service interruption originating from third-party companies from which "PsyTell" receives services, Psytell.com and "Users" cannot be held responsible for delay or impossibility in fulfilling these obligations. For the duration of the force majeure event, the obligations of the affected party are suspended. As of the termination of the force majeure event, the parties are obliged to fulfill their obligations within a reasonable period (30 business days). In case the performance of the Agreement becomes impossible due to force majeure, the parties have the right to terminate the "Agreement." In this case, Psytell.com has no obligation for membership fee refund or other compensation; however, members may request a proportional refund for services that could not be used due to force majeure.

7. Membership Cancellation and Fee Refund
7.1. "Members" may cancel their membership to Psytell.com at any time. In case of membership cancellation, the membership fee paid shall be refunded to the person, excluding the portion from the date the membership fee was paid to the date of membership cancellation.

8. Breach of Agreement
‍8.1 The "User" accepts that they will promptly compensate all damages that Psytell.com or third parties may incur due to their attitudes and behaviors that violate all or any provision of this agreement, and that their membership, if any, may be suspended/terminated unilaterally and without notice, and their access to "PsyTell" may be blocked.

9. Dispute Resolution
‍9.1. In any dispute arising from or related to this Agreement, Istanbul Central Courts and Enforcement Offices shall be authorized. No provision in the Agreement prevents "Users" from exercising their legal rights. Members may apply to the authorized Consumer Court or Consumer Arbitration Committee.
